Indiana Health Centers, Inc. (“IHC”) operates this website to provide online access to information about IHC and the products, services, and resources we provide (the “Service”). By accessing and using this website, you agree to each of the terms and conditions set forth herein (“Terms of Use”). Additional terms and conditions applicable to specific areas of this website or to particular content or transactions are also posted in particular areas of the website and, together with these Terms of Use, govern your use of those areas, content or transactions. These Terms of Use, together with applicable additional terms and conditions, are referred to as this “Agreement”.

IHC reserves the right to modify this Agreement at any time without giving you prior notice. Your use of the website following any such modification constitutes your agreement to follow and be bound by the Agreement as modified. The last date these Terms of Use were revised is set forth below.

The Website and its Use 
You may use the website, and the information, writings, images and/or other works that you see, hear or otherwise experience on the website (individually or collectively, the “Content”) solely for your non-commercial, personal purposes and/or to learn about IHC products and services. Nothing contained in this site is intended, or should be considered, or used as a substitute for, medical advice, diagnosis or treatment. This site and its services do not constitute the practice of any medical, nursing or other professional health care advice, diagnosis or treatment, and no physician-patient relationship arises from its use. 

Content is derived in whole or in part from information and materials supplied by IHC and other sources, and is pro-tected by international copyright, trademark and other laws and the entire content of the website is copyrighted as a collective work under the United States Copyright Laws. No right, title or interest in any Content is transferred to you, whether as a result of downloading such Content or otherwise. IHC reserves complete title and full intellectual property rights in all Content. Except as expressly authorized by this Agreement, you may not use, alter, copy, distribute, transmit, exploit or derive another work from any Content obtained from the website, except as expressly permitted by these Terms of Use. 

Information Provided By You 
You shall not upload, post or otherwise make available on the website any information and material protected by copyright, trademark or other proprietary right without the express written permission of the owner of such right(s). You shall be solely liable for any damages resulting from any infringement of copyright, proprietary rights, or any other harm resulting from the foregoing prohibited submissions.

It is IHC’s policy not to accept or consider ideas, suggestions or materials other than those that IHC has specifically requested from you. Accordingly, IHC does not want you to, and you should not, send any confidential or proprietary information to IHC through the website unless specifically requested by IHC. Please note that any unsolicited information or material sent to IHC will be deemed not to be confidential or proprietary. However, IHC does welcome feedback regarding many areas of IHC’s existing businesses that will help satisfy customer’s needs, and feedback can be provided through the listed contact areas on the website. Any conduct by you that, in IHC’s opinion, restricts or inhibits any other user from using or enjoying the website will not be permitted. Third-Party Sites

Indemnification
You understand and agree that you are personally responsible for your behavior on the website. You agree to indemnify, defend and hold harmless IHC, its parent companies, subsidiaries, affiliated companies, joint venturers, business partners, licensors, employees, agents, and any third-party information providers to the Service from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys’ fees, resulting from or arising out of your use, misuse, or inability to use the website, the Service, or the Content, or any violation by you of this Agreement.

The website is administered by IHC from its offices in the United States. IHC makes no representation that the Content or website are appropriate or available for use at other locations outside of the United States. You may not use the website or export information and materials in violation of the export laws of the United States or any other country. If you access the website from a location outside of the United States, you are responsible for compliance with all applicable laws. 

General Provisions
a. Entire Agreement/No Waiver. These Terms of Use constitute the entire agreement of the parties with respect to the subject matter hereof. No waiver by IHC of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

b. Correction of Errors and Inaccuracies. The Content may contain typographical errors or other errors or inaccuracies and may not be complete or current. IHC therefore reserves the right to correct any errors, inaccuracies or omissions and to change or update the Content at any time without prior notice. IHC does not, however, guarantee that any errors, inaccuracies or omissions will be corrected.

c. Enforcement/ Choice of Law/ Choice of Forum. If any part of this Agreement is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of this Agreement, all of which will remain in full force and effect. Any and all disputes relating to this Agreement, IHC’s Privacy Policy, your use of the website, the Service, or the Content are governed by, and will be interpreted in accordance with, the laws of the State of Indiana, without regard to any conflict of laws provisions. The venue for any such dispute will be the state and federal courts located in Indianapolis, Indiana.

d. Claims of Copyright Infringement. Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to Service Provider’s Designated Agent. Please send such notifications to info@ihcinc.org.
